I think the explanation given on wecrash about this matter is a little suspect. Perhaps I should go back to my archives and see if I can be of assistance in describing how the deal between G.A.S. and UD went bad. Perhaps it has some of Sam's thoughts about how to do business?

wade i did not bag to have my stuff on Ur truck i didn't wont my stuff on Ur truck cause i did not trust u SAM bagged me finally i said yes well that lasted like a week till u guy f**ked us in Topeka i guess i was right u cant be trusted

A quick peek into my dealings with UD. Of particular interest is Sam's response to my comment about our business models.
This was my response to Sam asking if I was going to get back to him about filling an order he had for one of my products - though they had actually not purchased the minimum orders we had talked about.
"Sam, Sorry for the problems with our communication. I know we are both busy. Our attempts to connect in early March were frustrating, but I doubt now is any better. I hate talking by email, but it seems that may be the only way the two of us can chat. I prefer face to face or phone, but this will have to do. In my last email, I was brief hoping we would be able to talk on the phone. I spell things out in this email. At this time, I doubt I will participate in the UD Superstore. Should you want me to fill the carb and distributor order, I would so you don't have any issues with that. After that, if you would pull my items from the site, I would appreciate it. My frustrations are many. First, I am aware that even though I was talking to David Bryan about building the Dana rears (you stated you wanted me to see if he was willing to build them), you went out and had someone else build them. I also know that the rear brace was basically a copy of David's with minor changes, and it was produced at the same place he trusted with producing his. I have a hard time believing that was just an accident. I hate copies. Can't stand it on my stuff and don't like to see it on others hard work. I think we all know David pioneered that setup. It was hard to swallow. Second, my understanding of your attendance at shows was based on you expanding the markets at new shows you were attending. Then I saw you wanted to vend at Spring Explosion, where I have vended for several years. I really not interested in spending $1000 to go to that show for fuel, time, etc., only to have to sell against my own products. Also, when I priced my products to you, I double checked with you that your orders would be mostly packs of 10, some items as an order of 5. But your first order had 2 of most things, except protectors. That really insulted my intelligence that you would think that after I was clear about minimum orders, you could take the cheap price and only order 2 of them. All in all, I'm just not sure our business models are the same. If you need the order filled for the carb and distributor, I can do that to keep you going. But after that, I think you can safely pull my stuff from your site. Sorry I couldn't chat with you on the phone about this sooner. "

Thank you for finally telling us your intentions with our store. We have made commitments with your products to many people and now I will go back and explain to them that they will not be getting your products through us but again that is my issue as I take people for face value. I am still of the schooling that a hand shake is worth more than a contract to me but you being a lawyer know that is not obviously the case. I will answer your concerns one at a time but this is in no way to try and mend this relationship but to set the record straight.
David Bryan and his Dana 60 rear ends, I did take a metal back plate into the largest metal manufacturer in Lincoln to see if I could have them made that I got from the guy who actually developed that piece. I know you think it was David but actually Randy Fetrow developed that piece and David went and had it produced with minor changes. I got permission from Randy Fetrow before I ever made the first prototype. I have made a lot of changes to that back brace through trial and error and even offered the one I just finished to David at my cost back in December. So just to set the record straight, Randy developed that piece and I had permission before I ever had metal cut the first time hopefully that makes it easier to swallow.
Attending shows, you told us that you wanted to put your business on auto pilot not wanting to have to deal with the public any longer. Funny thing is it is the public who goes to these shows to buy parts. Our commitment to our vendors is to become the one stop derby shop so to service that better we will be attending over 10 show this year to promote these products. We will not be promoting them as our products but still giving the manufacturer the recognition that they deserve. All of the other vendors see the value of this and have decided not to attend the shows we are going with the exception of a couple and support us. The more parts we sell the more parts they make which is what they are really wanting to do.
Initial order, as I tried to explain to you, our initial orders are completely a guess as to what we are actually going to sell. I would have no issue buying 10 of every part from each vendor if I had about $300,000 to spend, but since we don’t we are trying to stock products we know will sell hoping to build to inventory levels we are shooting for. I was not trying to offend you but with the small margins on many of your products and even you not having that much confidence they would all sell we did try and put the products on the truck that would sell. After these first two shows do I feel that purchasing in minimum quantities will be an issue, no I do not, but we had to put as many products on our truck we could with the budget we had to work with and of all people I figured you would understand this because you understand business.
Business Model - We are looking for vendors that want to make quality parts with no fear of us knocking them off. We will be going to the major shows and have exclusive selling rights at all of our events. We are continuing to develop the website and adding vendors every week. We are going to make this work and the people that choose to partner up with us will make a lot of money in my opinion. From our stand point it is a win-win but that may not be everyone’s perspective so I respect that and move on.
Now I think I understand the real issue here and that is David Bryan and the Dana 60s. I don’t believe there is anything that I will say to make that situation better. He is the type of person that once he doesn’t like you he probably never will. I will say it one more time I would love to have him build Dana 60s for us and I know that will probably never happen so we will continue to build them. You may want to check your facts on the back brace though and ask Randy if I asked permission before I made my first one.
I hope that clears up a lot of your concerns but I wished this would have come up months ago as I made the first Dana 60 plate a long time ago.

Hello. Really sad. Sam is convinced himself he is right. I guess if you tell the same lie, enough times, you will start to belive it as true. I feel he learned this from Kelly Lampe, not to bring Kelly in to this issue. I am not sure Sam knows how far back Randy Fetrow and I go, no matter. Randy and I have worked on MANY ideas for a long time. Inovation comes from people who are in the real world, who are in the loop. NOT from some one who has the angle to sell, sell, sell. Randy and I worked on the Dana 60 together. I had ideas, he had ideas. Two minds, trying one thing, then another. I was the one who took the final production plate to have laser cut. The top truss, and bottom truss, are hand made.
To cut to the chase; Sam (or Bobby) went to the computer at the laser, and looked up MY file of the Dana 60 back plate. They changed a few things, but, they were silly enough to NOT delete some unused holes for "their" back plate. This went to laser, and the picture is still on their web site today.
Let us assume for one quick minute, that Sam actully did get permission from Randy (not a big issue, really) to reproduce the idea. The question is: Was it fine for Sam to open MY file of the Dana 60 and use MY file to copy, then reproduce "his" version? I really do not think so.
He wants to talk about "stealing"? Well I am not sure how bright Sam is (genious to leave unused holes in a copied plate), but if the issue is pushed, who ALL will be in trouble? Time will tell. I still write, let the people choose, just be sure they know the truth. David Bryan

SO, IN THE BEGINNING YOU WANTED TO PARTNER UP WITH PEOPLE WHO WANTED TO MAKE ALOT OF MONEY AND HAVE THEM FEEL SECURE ABOUT NOT HAVING THEIR PRODUCT COPIED AND RIPPED OFF? WTF?? AND NOW, YOU SAY THAT YOU HAVE "EXCLUSIVE SELLING RIGHTS" AT ALL YOUR EVENTS, YET YOU WANTED ME TO PAY A VENDOR FEE FOR MEETING PEOPLE IN THE ARENA PARKING LOT TO DELIVER PARTS THAT WERE ALREADY PAID FOR? HOW WOULD THAT BE POSSIBLE IF NO ONE ELSE COULD VEND THERE? YOU KEEP TYING THAT NOOSE TIGHTER AROUND YOUR OWN 2 NECKS. YOU KNOW HOW YOU CAN TELL WHEN WADE AND SAM ARE LYING? WHEN THEIR LIPS ARE MOVING OR THEY ARE TYPING.... YOU GUYS SHOULD JUST SHUT UP AND BE DONE WITH IT AS YOU ARE TRULY YOUR OWN WORST ENEMY.....
